Indemnification<\/h2>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">11.1 Customer Indemnification<\/h3>\n<p class=\"whitespace-normal break-words\">Customer indemnifies Hyblox against claims arising from:<\/p>\n<ul class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">Customer&#8217;s use of products or services<\/li>\n<li class=\"whitespace-normal break-words\">Violation of these Terms<\/li>\n<li class=\"whitespace-normal break-words\">Infringement of third-party rights<\/li>\n<li class=\"whitespace-normal break-words\">Failure to comply with applicable laws<\/li>\n<\/ul>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">11.2 Procedure<\/h3>\n<ul class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">Prompt written notice of claims<\/li>\n<li class=\"whitespace-normal break-words\">Right to control defense<\/li>\n<li class=\"whitespace-normal break-words\">Reasonable cooperation<\/li>\n<li class=\"whitespace-normal break-words\">No admission of liability without consent<\/li>\n<\/ul>\n<h2 class=\"text-xl font-bold text-text-100 mt-1 -mb-0.5\">12. General Provisions<\/h2>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.1 Governing Law<\/h3>\n<p class=\"whitespace-normal break-words\">These Terms are governed by Florida law, excluding conflict of law principles. Disputes shall be resolved in courts located in Florida.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.2 Entire Agreement<\/h3>\n<p class=\"whitespace-normal break-words\">These Terms, along with any applicable service agreements, constitute the entire agreement between parties.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.3 Modifications<\/h3>\n<p class=\"whitespace-normal break-words\">Changes to these Terms must be in writing and signed by both parties.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.4 Severability<\/h3>\n<p class=\"whitespace-normal break-words\">If any provision is deemed invalid, the remaining provisions continue in full force.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.5 Assignment<\/h3>\n<p class=\"whitespace-normal break-words\">Customer may not assign these Terms without our written consent. We may assign to affiliates or successors.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.6 Waiver<\/h3>\n<p class=\"whitespace-normal break-words\">No waiver effective unless in writing. Waiver of one breach does not waive others.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.7 Relationship<\/h3>\n<p class=\"whitespace-normal break-words\">Nothing creates a partnership, joint venture, or agency relationship between parties.<\/p>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">13.8 Survival<\/h3>\n<p class=\"whitespace-normal break-words\">Provisions regarding payment, confidentiality, liability limitations, and indemnification survive termination.<\/p>\n<h2 class=\"text-xl font-bold text-text-100 mt-1 -mb-0.5\">14. Export Compliance<\/h2>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">14.1 Export Restrictions<\/h3>\n<p class=\"whitespace-normal break-words\">Customer acknowledges that products may be subject to U.S. export controls, particularly:<\/p>\n<ul class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">High-performance GPUs (A100, H100)<\/li>\n<li class=\"whitespace-normal break-words\">AI acceleration hardware<\/li>\n<li class=\"whitespace-normal break-words\">Related technical data<\/li>\n<\/ul>\n<h3 class=\"text-lg font-bold text-text-100 mt-1 -mb-1.5\">14.2 Customer Obligations<\/h3>\n<p class=\"whitespace-normal break-words\">Customer agrees to:<\/p>\n<ul class=\"[&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc space-y-1.5 pl-7\">\n<li class=\"whitespace-normal break-words\">Comply with all export laws and regulations<\/li>\n<li class=\"whitespace-normal break-words\">Not export to embargoed countries or denied parties<\/li>\n<li class=\"whitespace-normal break-words\">Obtain necessary export licenses<\/li>\n<li class=\"whitespace-normal break-words\">Maintain required documentation<\/li>\n<\/ul>\n<h2 class=\"text-xl font-bold text-text-100 mt-1 -mb-0.5\">15.
