These Terms of Use (“Terms”) govern your access to and use of idealsolutionusa.com (the “Site”), operated by Ideal Solutions Packaging Systems (“IDS,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. About IDS
Ideal Solutions Packaging Systems is a business-to-business provider of automated packaging line equipment and engineering services to food, beverage, and supplement manufacturers. The Site is intended to provide information about our company, capabilities, and services to prospective and current business clients.
2. No Offer or Binding Agreement
Information on the Site, including descriptions of equipment, capabilities, configurations, pricing references, case studies, photographs, diagrams, and project examples, is provided for general informational purposes only. Nothing on the Site constitutes an offer, quotation, warranty, or binding commitment by IDS.
Any sale, supply, or delivery of equipment or services by IDS is governed exclusively by a separate written quotation, proposal, purchase agreement, or contract executed between IDS and the client. The terms of those documents — not these Terms or any content on the Site — control any commercial transaction with IDS.
3. Eligibility and Permitted Use
The Site is intended for use by businesses and adult professionals evaluating or engaging packaging equipment and services. By using the Site, you represent that you are at least 18 years of age and accessing the Site for legitimate business purposes.
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable law or regulation
- Use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, or other commercial communications
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use any robot, spider, scraper, or other automated means to access the Site, harvest data, or interfere with its operation
- Attempt to gain unauthorized access to any portion of the Site, related systems, or networks
- Reverse engineer, decompile, or attempt to extract source code from the Site
- Interfere with, disrupt, or attempt to disrupt the Site’s functionality, security, or performance
- Use the Site or its content to develop a competing product, service, or business
We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.
4. Intellectual Property
All content on the Site — including text, graphics, logos, images, photographs, illustrations, diagrams, videos, case studies, technical descriptions, methodologies, frameworks, downloadable resources, and the overall design, layout, and “look and feel” — is the property of IDS or its licensors and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
The names “Ideal Solutions Packaging Systems,” “IDS,” and any associated logos, slogans, or product names are trademarks of IDS. You may not use these marks without our prior written permission.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal business evaluation purposes. Except as expressly permitted in Section 5 below, you may not copy, reproduce, modify, distribute, publish, transmit, display, perform, create derivative works from, sell, license, or otherwise exploit any content on the Site without our prior written consent.
5. Downloadable Resources
From time to time, IDS may make resources available for download from the Site, including catalogs, brochures, case studies, white papers, technical guides, or other materials (“Resources”).
Unless explicitly stated otherwise in the Resource itself, you are granted a limited, non-exclusive, non-transferable, revocable license to download, store, and view such Resources for your internal business evaluation purposes only. You may not:
- Republish, redistribute, resell, or sublicense the Resources
- Modify, alter, or create derivative works from the Resources
- Remove or obscure any copyright, trademark, or proprietary notices on the Resources
- Use the Resources to develop competing products or services
- Share the Resources with competitors of IDS
All Resources are provided “as-is” for informational purposes and do not constitute technical specifications, engineering recommendations, or binding commitments.
6. Submissions and Communications
If you submit any inquiry, message, comment, suggestion, idea, or other communication to IDS through the Site, by email, or otherwise (“Submissions”), you agree that:
- Your Submissions are not confidential unless explicitly agreed otherwise in writing
- IDS may use Submissions for any lawful business purpose, including evaluating inquiries, improving our services, or responding to you
- IDS is not obligated to maintain Submissions in confidence, compensate you for them, or respond to them
- You will not submit any content that is unlawful, infringing, defamatory, or that you do not have the right to share

7. Third-Party Links and Content
The Site may contain links to third-party websites, resources, or services that are not owned or controlled by IDS. We provide these links for convenience only. Your use of third-party sites is at your own risk and subject to the terms and privacy policies of those sites.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT, INFORMATION, AND RESOURCES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IDS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE
You acknowledge that information on the Site, including equipment descriptions, capabilities, and project examples, is general in nature and may not reflect current configurations, pricing, or availability. You should not rely on Site content for any commercial decision; instead, request a written quotation or proposal from IDS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT, RESOURCES, OR SERVICES OBTAINED THROUGH THE SITE, EVEN IF IDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL IDS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).
This limitation applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and survives termination of these Terms.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless IDS and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site or its content; (c) your violation of any law or the rights of any third party; or (d) any content you submit through the Site.
11. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction and venue of such courts.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
12. Changes to These Terms
We may modify these Terms at any time by posting the revised Terms on the Site and updating the “Last Updated” date. Material changes will be communicated through the Site where appropriate. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Upon termination, your right to use the Site immediately ceases. The provisions of these Terms that by their nature should survive termination — including Sections 4 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Governing Law) — shall survive.
14. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and IDS regarding your use of the Site and supersede any prior agreements or understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or our right to enforce it.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction.
No Agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and IDS.
Headings. Section headings are for convenience only and do not affect interpretation.
